SYNOPSIS

UK - Bright Things PLC (BT) agreed to acquire the entire ordinary share capital of Commonworld Ltd, a developer of social Internet networking software and services, for 6.624 mil pounds ($13.62 mil US). The consideration was to consist of the issuance of 7.5 mil BT ordinary shares valued at 0.44 mil pounds ($0.905 mil) and up to 6.183 mil pounds ($12.714 mil) in profit-related payments. The shares were valued based on BT's closing stock price of 0.0588 pounds ($0.1212) on November 29, the last full trading day prior to the announcement of the transaction.
