SYNOPSIS

JAPAN - TRU Japan Holdings 2 LLC (TJH), a wholly owned unit of Toys "R" Us Inc (TRU), raised its interest to 62.37% from 47.96%, by acquiring 14.41% stake, or 4.943 mil ordinary shares in Toys "R" Us-Japan Ltd (TRJ), an owner and operator of toy retail store chain, for 729 Japanese Yen ($6.967 US) in cash per ordinary share, or a total value of 3.603 bil yen(34.435 mil US), via its tender offer to acquire the remaining 52.038% stake, or 17.85 mil ordinary shares in TRJ. TJH received an irrevocable undertaking of 4.519 mil shares in TRU from McDonald's Holdings Co (Japan) Ltd.
