SYNOPSIS
US - Pfizer Inc (PI) definitively agreed to acquire all the outstanding common stock of Wyeth (WY), a manufacturer and wholesaler of pharmaceuticals, in a transaction valued at $67.286 bil. PI offered $33 in cash and 0.985 common shares per WY share. Based on PI's closing stock price of $17.45 on January 23, the last full trading day prior to the announcement, each WY share was valued at $17.188. The transaction was subject to customary closing conditions, shareholder and regulatory approvals. Originally, PI was rumored to be planning to acquire all the outstanding common stock of WY.
