SYNOPSIS

INDONESIA - Philip Morris Indonesia PT (PM), a wholly-owned unit of Altria Group Inc's wholly-owned Philip Morris International Inc subsidiary, acquired the remaining 60% interest, or 2.63 bil ordinary shares, which it did not already own, in Hanjaya Mandala Sampoerna Tbk PT (HM), a cigarette manufacturer and wholesaler, for an estimated 29.376 tril Indonesian rupiah ($3.143 bil US). PM offered 10,600 rupiah ($1.134) in cash per share, or a total value of 27.876 tril rupiah ($2.983 bil) and assumption of an estimated 1.5 tril rupiah ($160.5 mil) in liabilities. Earlier, PM completed its tender offer for HM by accepting 4.295 bil ordinary shares, or 98% of HM's shares outstanding. Concurrently, PM acquired a 40% stake, or 1.753 bil ordinary shares, in HM. The transaction was approved by the customary regulatory review and the Indonesian Securities Custodian.
