XM, Sirius delay annual meetings, pending buyout news
XM Satellite, Sirius both postpone annual shareholder meetings; awaiting news on combination

NEW YORK (Associated Press) - XM Satellite Radio Holdings Inc. and Sirius Satellite Radio Inc. on Tuesday postponed their annual shareholder meetings, pending further information about the timing of the planned combination of the two companies.

The XM stockholders' meeting was scheduled for Friday. Sirius' meeting was slated for May 20.

The Justice Department on March 24 ended its investigation of the $5 billion buyout of XM by Sirius, saying the combination of the two companies would not be anticompetitive. The Federal Communications Commission, which prohibited a merger when it granted satellite radio operating licenses in 1997, has yet to rule on the plan.

Both XM, based in Washington, and Sirius, based in New York, obtained stockholder approval for the combination in November.

The two companies in separate releases Tuesday said they would file amendments to their annual reports with the Securities and Exchange Commission to include the required information regarding directors and executive compensation. Top of page
