SYNOPSIS

UK - Conygar Investment Co PLC (CI) agreed to acquire the remaining 33.33% stake, which it did not already own, in Martello Quays Ltd, an Anglesey-based real estate development firm, for 3.173 mil British pounds ($6.334 mil), in a stock swap transaction. The consideration consisted of 0.6 mil pounds ($1.198 mil) in cash and the issuance of 1.5 mil new CI ordinary shares valued at 2.573 mil pounds ($5.137 mil). The shares were valued based on CI's closing stock price of 1.715 pounds ($3.424) on March 28, the last full trading day prior to the announcement of the transaction.
